ACQUISITION PROJECTS

1.         acting for a company in respect of its acquisition of 100% shares in another company (property development and management) which owns an office tower in Shanghai, the total asset value of the target company is over RMB200 million and the related legal services include providing legal advices, conducting due diligence, drafting the relevant acquisition documents and all the other related documents, participation in negotiations on behalf of the clients, etc.;

 

2.         acting for a United States venture capital investor in respect of its acquisition of shares in and providing shareholder’s loan to a wholly foreign owned property development company located in Shanghai; the total amount of investment of the target company is US$300 million; the related legal services include giving legal advice, conduct legal due diligence;

 

3.         acting for a Hong Kong investor in respect of its acquisition of a foreign wholly-owned company (property development) in Shanghai; the total amount of investment of the target company is US$116 million; the related legal services include giving legal advice, conducting legal due diligence, drafting the related acquisition agreements and all the other related documents, carrying out all the related procedures;

 

4.         acting for a Singapore investor in respect of its acquisition of shares in a company (aviation oil industry) situated in Shanghai; the total amount of investment of the target company is RMB600 million; the related legal services include giving legal advice, conducting legal due diligence, drafting the related acquisition agreements in both English and Chinese and all the other related documents, carrying out all the related procedures;

 

5.         acting for a Singapore investor through its wholly owned subsidiary registered in China to acquire all the related state-owned assets for it to own and operate a harbour located in Jiangsu Province (including docks, trestle, causeway, related land use rights, sea use rights, warehouses, factory buildings, office buildings, cranes and other equipment, etc.); the purchase consideration for the first phase acquisition is RMB200 million; the related legal services include giving legal advice, conducting legal due diligence, drafting the related acquisition agreements and all the other related documents, carrying out all the related procedures;
 

6.         acting for a Singapore investor in respect of its acquisition of shares in another Singapore company which owns a property development company located in Shanghai; the said Shanghai company succeeded to all rights and obligations and assets of five liquidated companies, and the total amount of investment of the said Shanghai company is US$60 million;

 

7.         acting for a French investor in respect of its acquisition of shares in a state-owned company and converting the said state-owned company into an equity joint venture company (industry) in Shanghai; the total amount of investment of the equity joint venture company is RMB100 million;

 

8.         acting for an Australian investor in respect of its acquisition of shares in an equity joint venture company (industry) in Yangzhou City, Jiangsu Province; the total amount of investment of the target company is US$15.18 million;

 9.        acting for an oversea investor in respect of its acquisition of an office tower in Shanghai with a total purchase consideration amounting to US$67.5 million; the related legal services include giving legal advice, conducting legal due diligence, drafting the related acquisition agreements and all the other related documents, carrying out all the related procedures;
